Standby - Terms of Service

Effective Date: July 1, 2025

Welcome to Standby! These Terms of Service (“Terms”) govern your use of the Standby mobile app (“App”), operated by Last Minute Labs Inc (“we”, “us”, or “our”). By using the App, you agree to these terms. If you don't agree, you may not use the App.

1. Who Can Use Standby

You must be at least 19 years old to use the App. By using the App, you confirm that you are eligible and agree to comply with these Terms.

2. What You Can and Can’t Do

You agree not to use the App for anything illegal, harmful, or misleading. Be respectful when sending invites and interacting with others. We reserve the right to suspend or delete accounts that misuse the App at our discretion. You may not impersonate others and you can't create an account for someone else unless you have their express permission. 

3. Your Content

When you create events or add info, you're responsible for that content. Don't post anything offensive, illegal, or infringing on someone else's rights. You can't post someone else’s private or confidential information without permission or do anything that violates someone else's rights, including intellectual property rights (e.g., copyright infringement, trademark infringement, counterfeit, or pirated goods). You may use someone else's works under exceptions or limitations to copyright and related rights under applicable law. You represent you own or have obtained all necessary rights to the content you post or share. 

4. Permissions You Give to Us

You give us permissions that we need to provide the App service. We do not claim ownership of your content that you post on or through the App and you are free to share your content with anyone else, wherever you want. However, we need certain legal permissions from you (known as a “license”) to provide the App. When you share, post, or upload content that is covered by intellectual property rights (like photos) on or in connection with our App, you hereby grant to us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to host, use, distribute, modify, run, copy, publicly perform or display, translate, and create derivative works of your content. You give us permission to show your username, profile picture, event images, event info, and information about your actions (such as events you join) or relationships without any compensation to you.

5. Intellectual Property

Last Minute Labs Inc. owns the rights to its name, design, and features. You agree not to copy, modify, or try to reverse engineer the App.

6. No Guarantees and Limited Liability

The App is provided "as is," and we can't guarantee it will be safe and secure or will work perfectly all the time. TO THE EXTENT PERMITTED BY LAW, WE ALSO DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We also don’t control what people and others do or say, and we aren’t responsible for their (or your) actions or conduct (whether online or offline) or content (including unlawful or objectionable content). We also aren’t responsible for services and features offered by other people or companies. Our responsibility for anything that happens in connection with the App (also called "liability") is limited as much as the law will allow. If there is an issue with our App, we can't know what all the possible impacts might be. You agree that we won't be responsible ("liable") for any lost profits, revenues, information, or data, or consequential, special, indirect, exemplary, punitive, or incidental damages arising out of or related to these Terms, even if we know they are possible. This includes when we delete your content, information, or account.

7. Changes

We may update these terms in the future. If we do, we’ll let you know in the app and/or by posting the updated terms on getstandby.com. Continuing to use the App means you agree to the updated Terms.
